§ 1   Name, Location, and Fiscal Year

I.  The association is named "Animal Protection Association Hattersheim and Surroundings e.V.". The association is registered in the association register of the district court

     Frankfurt am Main under the registration number VR 7750.

II.  The location of the association is Hattersheim am Main.

III .  The fiscal year is the calendar year.

§ 2   Purpose of the Association, Non-Profit Status

I.  The association represents and promotes the idea of animal protection through education, instruction, and good example. It aims to awaken understanding for the

     nature of animals, promote their well-being, prevent any animal abuse or cruelty, and initiate their criminal prosecution regardless of the perpetrator's identity.

II.  The association's activities are not limited to the protection of domestic animals but also extend to the entire wildlife. Additionally, the maintenance of the association's own animal shelter, provided there are sufficient financial resources, is to be ensured.

III.  The association pursues exclusively and directly charitable purposes within the meaning of the section "Tax-Privileged Purposes" of the

     tax code. The association acts selflessly and does not primarily pursue its own economic purposes.

IV  Funds of the association may only be used for statutory purposes. No person may be favored by expenditures that are foreign to the purpose of the association or by disproportionately high remuneration. Members do not receive any benefits from the association's funds.

V.  The following regulation applies to association members and other association helpers who work voluntarily:

     However, upon request, the granting of appropriate remuneration up to the legally determined amount of the annual volunteer allowance according to § 3 No. 26 a Income Tax Act is permissible.

VI.  Notwithstanding § 10 para. II. of the statutes, the general meeting may decide that the board / board members may receive appropriate remuneration for their board activities upon request. Excluded from the aforementioned regulations are all activities in the economic business area and in the asset management of the association.

VII.  The Animal Protection Association Hattersheim u.U.e.V. is neutral in terms of religion, politics, and ideology.

 

  § 3  Membership

I.  Anyone who has reached the age of eighteen and acknowledges the purpose of the association can become a member. Legal entities

     and corporations can be admitted as members.

II.  Members of youth groups must be at least ten years old. They do not have voting rights at the general meeting.

III.  The board decides on the admission of members. The declaration of accession must be in writing. In the event of a rejection,

     the reasons for rejection do not need to be communicated.

IV.  The board can propose personalities as honorary members who have made outstanding contributions to animal protection in general or to the association. Honorary members have the same rights as regular members.

V.  Persons who buy or sell animals for experimental purposes cannot become members.

§ 4  End of Membership

I.  Membership ends through withdrawal, deletion, exclusion, death, or dissolution of the association.

II.  Withdrawal is permissible at the end of each fiscal year with a notice period of three months.

   The declaration of withdrawal must be made in writing to the board.

III.  A deletion can be made by the board if the member is more than one year in arrears with the payment of the annual contribution in whole or in part.

IV.  A member can be excluded who intentionally or grossly negligently acts contrary to the statutory purposes and tasks or is guilty of an act within or outside the association / animal shelter that is likely to damage the reputation of the association or the animal protection efforts. As well as those who cause discord in the association and thereby disturb the peace of the association.

V.  The person to be excluded must be given the opportunity to justify themselves in writing to the board.

VI .  The board decides on the exclusion from the association with a 2/3 majority.

VII.  A refund of paid contributions is generally excluded.

VIII. With the termination of membership, all rights and obligations towards the association expire. Anyone in possession of animal shelter keys must return them to the board immediately.

§ 5 Membership Fee

I.  Each member must pay an annual fee, the amount of which is determined by the general meeting. Upon request, the board may reduce the fee in individual cases.

II.  The fee is to be paid within the first three months of the fiscal year.

III.  Honorary members are exempt from the obligation to pay fees.

§ 6   Duties of Members

I.  Members are obliged,

   1)  to pay contributions on time (§ 5 para. II.),

   2)  to participate in fulfilling the association's tasks to the best of their ability,

   3)  to handle the association's assets sparingly and

   4)  to maintain community peace in the association and the animal shelter.

§ 7 Rights of Members

I.  Members have the right 

     1)  to participate in all votes of the general meeting,

     2)  to request information from the board about association matters,

     3)  to submit written applications and proposals to the board.

§ 8  Association Bodies

I.  The bodies of the association are

    1.  the general meeting and

     2.  the board.

§ 9  Election of the Board

I.  The general meeting elects the first chairman, the deputy chairman, the treasurer, and the secretary.

     In addition, up to three assessors can be elected.

II.  The election can be conducted by open vote. Elected is the one who receives the majority of the votes cast (relative majority).

III.  The term of office lasts three years.

IV.  The board remains in office beyond the term of office until the statutory appointment of the new board.

     If a board member leaves the board before the end of their term of office, the remaining board can appoint a replacement member until the next regular board election.

V.  The board members authorized to represent mentioned in § 10 para. II. must have been members of the association for at least 4 years and the other board members for at least 2 years to meet the professional requirements of the association / animal shelter.

VI.  Only association members for whom a written candidate proposal for a specifically named board position with at least three supporting signatures is available to the association one week before the meeting and election date are eligible for election.

§ 10  Tasks of the Board

I.  The board is responsible for the management of the association's business and the administration of the association's assets. The first chairman

      monitors compliance with the resolutions of the board and the general meeting.

II.  The board authorized to represent according to § 26 of the Civil Code consists of the first chairman, the deputy chairman, and the treasurer. Judicial and extrajudicial representation must be carried out by two authorized board members. To ensure transparency and diversity of opinion in the association, the three members of the authorized board may not be married or life partners with each other.

III.  The board works on a voluntary basis. The regulation in

     § 2 para. V. of these statutes is excluded.

IV.  Since the association has established an animal shelter to fulfill the association's purpose, the management and administration of the animal shelter is the responsibility of the board.

V .  The board meets at least once per calendar quarter or at least once per half-year for a board meeting. It is quorate if more than half of its members are present. A simple majority of votes is sufficient for resolutions. In the event of a tie, the vote of the first chairman decides.

§ 11  General Meeting

I.  The ordinary annual general meeting takes place once in each fiscal year and should preferably be convened in the first half of the year. Extraordinary general meetings can be convened by the board. They must be convened if one-third of the association members request it in writing, stating the reason.

II.  The invitation to the general meeting is issued by the board, including the agenda, at least three weeks before the meeting date as a letter by post.

III.  The general meeting is chaired by the first chairman, unless a meeting leader is to be appointed. The first chairman, treasurer, and auditors or a member of the association appointed by them report.

IV.  The general meeting decides:

  1)  the election of a meeting leader,

  2)  the discharge and re-election as well as the removal from office of the board,

  3)  the election of two auditors for the term of office of the board,

  4)  on applications from association members,

  5)  on amendments to the statutes or new versions, a 2/3 majority of the members present with voting rights is required,

  6)  on the dissolution of the association, a ¾ majority of the members present with voting rights is required.

      7)  the change of the association's purpose, the consent of all members is required, the consent of the members not present at the general meeting must be given in writing.

V.  In the decision-making process, except for § 11 paragraph IV. No. 5, 6, and 7, the simple majority of votes of the members decides by show of hands.

VI.  Applications must be submitted to the board in writing at least one week before the meeting.

 VII .  A record of the resolutions passed at the meeting must be kept. This must be signed by the last appointed meeting leader. Every association member is entitled to inspect the record.

§ 12  Liability of the Association

For damages of any kind that occur to a member of the association or visitors from participating in events or visiting the animal shelter or through the use of association facilities, the association is only liable if intent or gross negligence can be proven against an organ member or another person for whom the association is responsible under the provisions of civil law.

§ 13 Data Protection

The association collects, processes, and uses personal data of its members using data processing systems (EDP) to fulfill the purposes and tasks permitted by these statutes, for example, in the context of member administration and other statutory events. By their membership in the association and the associated recognition of these statutes, members agree to the aforementioned use of their personal data.

§ 14  Audit

I.  The audit of the cash and the financial situation of the association must be carried out by two auditors after the end of each fiscal year, after scheduling with the treasurer.

II.  The audit extends to the economic use of funds and the substantively justified use of expenses as well as the correct and complete booking with supporting documents.

III .  The audit must take place in such a timely manner that an oral report on the association's income and expenses can be given at the regular annual general meeting.

§ 15  Youth Group Leader /   Youth Group

 I.  To inspire young people for the idea of animal protection, a youth group can be formed. Youth group leaders are appointed by the board at any time. They must be at least 25 years old and, through their personality, provide assurance for proper youth-oriented leadership of the group and the real fulfillment of the tasks set. Youth group leaders carry out their activities on a voluntary basis according to the guidelines issued by the board.

II.  The office expires through voluntary resignation or dismissal by the board.

§ 16   Memberships of the Association

 The association is a member of the State Animal Protection Association of Hesse e.V. and the German Animal Protection Association e.V.

§ 17  Dissolution of the Association

I.  The association dissolves according to the provisions of the Civil Code or if the general meeting decides with a three-quarters majority.

II.  In the event of dissolution or annulment of the association or the cessation of its previous purpose, the assets fall to a corporation under public law or another tax-privileged corporation for the purpose of promoting animal protection. The Animal Protection Association Wiesbaden and Surroundings e.V. and the associations mentioned in § 16 have priority.

Effective Date :

The new version of the statutes was adopted at the general meeting on 10.03.2018 and comes into effect with the entry in the association register.
